The terms governing every VERV HQ engagement — what we deliver, how we get paid, who owns what, and how either party can end the relationship.
By accessing our website, signing a Statement of Work, or engaging VERV HQ for services, you agree to be bound by these Terms of Service together with any applicable SOW. If you are entering into this agreement on behalf of a company, you represent that you have authority to bind that company.
If you do not agree with any part of these terms, do not use our services. These terms apply to all visitors, clients, and anyone who accesses the service.
VERV HQ provides brand, product design, engineering, and growth services for SaaS companies. Our engagements take two forms:
Each SOW supersedes these general terms where the two conflict. Out-of-scope work requires a written change order before work begins.
Every engagement begins with a strategy call and a written SOW. Work starts only after you sign the SOW and the initial invoice is paid. We communicate through a shared Slack channel, with weekly async updates and scheduled syncs as needed.
Response SLAs: 4 business hours for standard requests, 1 business day for new briefs, same-day for critical issues on active retainers.
Build packages require a 50% deposit on signing and 50% on delivery of the final milestone. Grow retainers are billed monthly in advance via Stripe on the anniversary of your start date.
All invoices are due within 7 days of issue. Late payments accrue a 1.5% monthly service charge. We reserve the right to pause work if an invoice is more than 14 days overdue. All fees are quoted in USD unless otherwise stated; applicable taxes are the client's responsibility.
On receipt of full payment for a deliverable, ownership of the final work product — including source files, copy, and design files delivered to you — transfers to you. VERV HQ retains the right to display the work in our portfolio and case studies unless you request confidentiality in writing.
We retain ownership of all background IP: proprietary frameworks, internal tooling, processes, and any third-party assets licensed under our accounts. Nothing in this agreement transfers rights to background IP.
Both parties agree to keep confidential all non-public information disclosed during the engagement, including business strategy, product roadmaps, financials, customer data, and technical specifications. This obligation survives termination for 3 years.
Confidential information may be disclosed only as required by law, court order, or with prior written consent of the disclosing party.
We warrant that all work will be performed in a professional manner consistent with industry standards. Code delivered under a Build package is warranted free of material defects for 30 days from delivery; we will remedy in-scope defects at no charge during this period.
Except as expressly stated, services are provided "as is" without warranties of any kind. We do not guarantee specific business outcomes (revenue, pipeline, rankings) as these depend on factors outside our control.
To the maximum extent permitted by law, VERV HQ's total aggregate liability for any claim arising out of this agreement shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
In no event shall either party be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption — even if advised of the possibility.
You agree to indemnify and hold harmless VERV HQ against any claims arising from content or materials you supply to us, including copy, logos, data, and third-party assets you instruct us to use.
We will indemnify you against third-party claims that our original work product infringes a valid US intellectual property right, provided you notify us promptly and allow us to control the defense.
Build packages end on delivery and acceptance of the final milestone. Grow retainers continue month-to-month after the minimum commitment period with 30 days written notice required for cancellation.
Either party may terminate for material breach with 14 days written notice if the breach is not cured. On termination, you pay for all work completed through the effective date and we deliver all work-in-progress files.
This agreement is governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-law principles. Any dispute that cannot be resolved through good-faith negotiation shall be settled by binding arbitration under the rules of the American Arbitration Association, seated in Wyoming.
We may update these terms as our practices evolve. Material changes will be communicated to active clients by email at least 30 days before they take effect. The current version is always published on this page with the "Last updated" date above.
